Friends of West Windsor

Note: The Friends of West Windsor Senior Citizens, Inc. was incorporated in October 2, 1986. Bylaws were adopted in 1986. From the annual reports and files available, ammendments were drafted in July 22, 1987, but no changes were voted on since the intital incorporation. The following are the original and currently enforce By-Laws as adopted sixteen years ago! [Per IRS District Director letter, changes to these bylaws must be forwarded to the IRS for determination of impact to our tax status.]
The Bylaws Committee appointed on March 20, 2003 completed their work and reported proposed amemdments in September. The Board reviewed and made comments. The Bylaws committee made adjustments in response to these comments. At the Public Meeting held on Dec. 11, 2003, Bylaws Committee chairman read the proposed Bylaws. All but Article II as proposed was read without comment. A motion was made and passed that the Bylaws be referred back to the Bylaws Committee for reconsideration of Article II.
Copies of the proposed Bylaws are on file in the WWSC at the FoWWSC desk. At the next Public Meeting of FoWWSC, envisioned to be in March or April of 2004, the Bylaws Committee will report on this last activity.

ARTICLE I - Purpose
The purpose of this organization is to raise funds to facilitate the enrichment of the lives of senior citizens of West Windsor Township by providing the means to acquire facilities, programming, equipment, materials and all other things necessary and desirable to achieve a full and active life for residents in their later years, as well as to raise public awareness of the valuable contributions of seniors to the community.
ARTICLE II - Membership, Dues and Voting
Section 1.
Any and all persons, including individuals, groups, associations, partnerships and corporations, desirous of supporting the purposes of this organization, shall be eligible for membership and may become a member by paying the requisite dues.
Section 2.
The annual dues shall be as follows:
a) individuals, five dollars ($5. 00) per year;
Annual dues shall be payable on or before October each year. No member whose annual dues have not been fully paid by October 1 of any year shall be entitled
b) all others, twenty five dollars ($25.00) per year.

to vote at any subsequent meeting until such member's dues have been fully paid for that year. Section 3.
Each member in good standing shall be entitled to one vote on each matter submitted to a vote at any meeting of this organization.Article III - Meetings
An annual meeting of this organization shall be held each year during the month of October upon written notice to each member or by notice published in a newspaper of general circulation distributed in West Windsor Township at least ten (10) days prior to such meeting. Notice of such annual meeting shall also be posted at the Senior Center and municipal building at least ten (10) days prior to such meeting. At the annual meeting the members shall elect a President, Vice President, Treasurer, Recording Secretary and Corresponding Secretary. The elected officers shall serve for a term of one year. No individual shall hold the same office for more than three (3) consecutive years. In addition to the annual meeting, there shall be such other meetings of this organization as called by either the President, three (3) members of the Board of Trustees, or five (5) members of the organization on written request to the President and members of the Board of Trustees. Notice of such other meetings shall be as provided in this Article.

Article IV - Duties of Officers
President: It shall be the duty of the President to preside at all meetings of this organization, including meetings of the Board of Trustees. The President shall be an ex-officio member of all committees other than the Nominating Committee.
Vice President: It shall be the duty of Vice President to perform the duties of the President in his or her absence or disability, as well as to perform all duties assigned to him or her by the President or Board of Trustees.
Treasurer: The Treasurer shall have charge of all funds of the organization and shall see that an accounting system is maintained in such manner as to give a true and accurate accounting of the financial reports of the organization.
Recording Secretary: The Recording Secretary shall keep the minutes of all meetings of the organization, including meetings of the Board of Trustees, and shall have charge of the records and reports of the organization.
Corresponding Secretary: The Corresponding Secretary shall be responsible for the preparation distribution of such notices of meetings as may be required by the by-laws, the preparation and distribution of correspondence as authorized by the President and/or Board of Trustees, and the maintenance of accurate lists of names and addresses of the members.

Article V - Board of Trustees
The Board of Trustees shall consist of the five officers of the organization. The responsibilities of the Board shall be:
a) To ensure that the purposes of the organization are promoted;
b) To raise funds to help accomplish the purposes of the organization;
c) To assume such additional duties and respon- sibilities as may be required for the effective operation of the organization;
d) To conduct continuing evaluations of the operations of the organization, and to report its findings, and to recommend proposals for improvements to the membership; and
e) To establish and maintain the legal and corporate status of the organization consistent with the laws of the State of New Jersey.Article VI - Committees
Section 1:
The Board of Trustees shall, by April each year, appoint a nominating committee composed of at least four members of the organization, and shall appoint a chairperson of such nominating committee. The Nominating Committee shall present the slate of officers to the membership of the organization not later than the announcement of October annual meeting. The members so nominated shall be placed on the ballot at the annual meeting, but

members may also be nominated by any member from the floor at the annual meeting, and all members nominated from the floor, and who shall accept such nomination, shall be placed on the ballot.
Section 2: The Board of Trustees shall establish a Proposal Evaluation Committee to recommend to the membership the distribution of funds based on a needs assessment. The evaluation shall be made in consultation with the Commission on Aging and Senior Center Services.
Section 3: The Board of Trustees shall establish such other committees as are believed by it to be necessary to achieve the purposes of the organization, and to promote the efficient and effective operation of the organization.
Article VII - Vacancy
Should a vacancy occur in any office, it shall be the duty of the Nominating Committee to recommend to the Board of Trustees the names of three (3) members of the organization to fill the vacancy until the annual meeting is held to elect new officers. The Board of Trustees shall select one (1) of the names submitted by the Nominating Committee to fill the vacated office. A person selected to to fill the vacated office with a term of greater than 1/2 year still remaining, shall be considered to have served a full term.(-Page 5 ends here-)
Article VIII - Relations with the Commission on Aging and
In addition to the purposes of the organization as set forth in the Certificate of Incorporation and the organization by-laws, seeks to work with the Commission on Aging and Senior Citizen Services of West Windsor Township, and with all other organizations with purposes consistent with those of this organization, to coordinate efforts aimed at enriching the lives of West Windsor's senior citizens.

other OrganizationsArticle IX - Review of By-Laws
The organization shall review the by-laws at least every three years. Proposed amendments and/or revisions shall be submitted to the Board of Trustees, which shall establish a committee to review such proposals. The committee shall then make its recommendations to the members of the organization. On a vote of two-thirds 2/3 of the members present at a meeting noticed as required by Article III of the by-laws, such proposals shall be adopted and become part of the by-laws.Article X - Rules of Order
The rules contained in 'Robert's Rules of Order, Newly Revised' shall govern the organization in all Order cases to which they are applicable and in which they are not inconsistent with the by-laws.
